Forum and choice of law

Force Majeure

The Web Site will not be liable for failing to perform under these terms of use by the occurrence of any event beyond its reasonable control, including, without limitation, a labor disturbance, an Internet outage or interruption of service, a communications outage, failure by a service provider to the Web Site to perform, fire, terrorism, natural disaster or war, or sheer laziness.

Additional Terms of Service for Subscribers

A. THIS IS AN INDIVIDUAL SUBSCRIPTION. You cannot share Your password with anyone else. The Web Site reserves the right to limit access for each Subscriber to a fixed number of physical locations or machines or to a specific number of simultaneous logons.

B. Subscriptions are available in multiple tiers (including, without limitation, Basic, Premium, and API + Premium). All subscriptions are annual, recurring, and will auto-renew one year from the date of purchase unless canceled in Your account settings prior to renewal. You may manage or cancel Your subscription at any time from the account page. Cancellation prevents future charges but does not result in a refund for any remaining subscription period.

C. All subscription fees are non-refundable. The Web Site reserves the right to make changes to its content at any time. If the Web Site temporarily reduces or eliminates the charge for content or access that You are currently paying for under different terms, You will not receive a refund.

D. Premium Subscribers may have access to certain downloadable materials and data (including, for example, CSV files). Such downloads are provided solely for Your personal, internal, and non-commercial use in connection with Your own analysis. You may not redistribute, resell, republish, or publicly post any downloaded data or use it to create or support a competing product or service without the Web Site's express written permission.

E. You are responsible for maintaining the confidentiality of Your account credentials and for all activities that occur under Your account. You agree to notify the Web Site promptly of any unauthorized use of Your account or any other breach of security.

Additional Terms of Service for API Access

A. Access to the dunksandthrees.com Application Programming Interface ("API") is provided solely for Your personal or authorized business use. Subject to Your active subscription and compliance with these Terms of Use, Snarr Data Science LLC grants You a limited, non-exclusive, non-transferable, revocable license to access and use the API for lawful purposes consistent with these Terms.

B. You may not (i) share, sublicense, sell, or redistribute API data or access credentials; (ii) use automated systems or scripts to extract or store bulk data beyond rate limits or reasonable use as determined by the Web Site; (iii) reproduce, display, or make available API data on any public-facing website, application, or database without the Web Site's prior written permission; or (iv) use the API in any manner that could harm, disable, overburden, or otherwise interfere with the operation or security of the Web Site or its services.

C. Any analysis, visualization, model, or other derivative work created using API data must clearly attribute dunksandthrees.com as the data source. You may not present API data as originating from another provider or imply endorsement by the Web Site without prior written permission.

D. API keys are unique to each Subscriber and must be kept confidential. You are responsible for all use of the API under Your keys. The Web Site reserves the right to monitor usage and to revoke, suspend, or limit API access at any time, including (without limitation) in cases of suspected misuse, credential sharing, scraping, excessive load, or any violation of these Terms of Use.

E. The Web Site does not guarantee uninterrupted availability of the API or the accuracy, completeness, or timeliness of any data returned. The Web Site may modify, restrict, or discontinue any API endpoint, data field, or feature at any time without notice, and shall not be liable for any damages or losses arising therefrom.

Changes to These Terms

The Web Site reserves the right to modify or update these Terms of Use at any time. Any changes will be posted on this page, and continued use of the Web Site or any related services after such posting constitutes Your acceptance of the revised Terms.
